Constitution of the
Anderson Independent Youth Soccer Association
Article I – NAME
The name of this organization shall be Anderson Independent Youth Soccer Association, Inc. (hereinafter called AIYSA)
Article II – PURPOSE
Section 1 – Purpose
The purpose of AIYSA shall be:
- To promote the growth and an appreciation for the game of soccer by providing opportunities for the citizens of Anderson County to learn the Law of the Game and participate in organized programs of soccer; and
- To organize and promote youth soccer organizations, clubs, and leagues for youth up to and including nineteen years of age, and to encourage good sportsmanship and fair play of all participants therein.
Section 2 – Achievement of Purpose
AIYSA achieves its purpose by:
- Encouraging and promoting the development of leagues, clubs and programs so that soccer is made available to youth in all levels of competition;
- Encouraging and promoting the development and practice of good sportsmanship;
- Encouraging. Promoting and developing the principles of fair play;
- Encouraging and promoting the growth of soccer; and
- Instructing, training and educating players, coaches, and referees to develop and improve their capabilities.
Section 2 – Charitable and Educational Purpose
The corporation is organized exclusively for charitable and educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organization under Section 501 (c)D (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).
Article III – OFFICERS AND BOARD of DIRECTORS
Section 1 – Organization
The procedures of this organization shall follow Roberts Rules of Order.
Section 2 – Policy Making and Executive Functions
The policy making and executive functions of AIYSA shall be vested in the Officers and the Board of Directors (hereinafter called the Board).
The Board shall have the following powers:
- To ratify, alter or reject decisions and policies of any committee or board members;
- To institute and operate cup competitions;
- To arrange and stage soccer games of any nature whatsoever in its own name, and to that end, in may marshal the support of any or every member and/or its or their subordinate affiliated teams and personnel;
- To create and manage or to create and to delegate the management under its direction to others of any organization whatsoever which it may deem expedient for the welfare of the game of soccer in the territory over which AIYSA has jurisdiction;
- To suspend, expel and/or impose fines or penalties upon any team and/or person under its jurisdiction guilt of violation or breach of the AIYSA Constitution, By Laws, State Rules, or any rules, policies or regulations of the Association with which AIYSA is affiliated;
- To settle disputes between two or more members of AIYSA;
- To hear all cases of misconduct of players, officials and/or person affiliated with AIYSA when two (2) or more teams are concerned, or when it has direct jurisdiction, or when the alleged offense in any case is an assault upon any official and after such hearing if such person or persons are found guilt, to impose such fine and/or penalty as it may deem proper.
- To enforce the purpose for which AIYSA was organized;
- To contract for such services and facilities as shall be necessary for the operation of AIYSA business’
- To authorize the expenditure of funds for purpose in keeping with eth needs of AIYSA;
- To render final decisions on all matters of controversy subject, nevertheless, to appeals and to decisions of the Association with which AIYSA is affiliated; and
- To Audit books and accounts of the Treasurer when deemed necessary.
Section 3 – Membership
The members of this Association shall consist of all AIYSA registered participants in the youth soccer program including their families and other volunteers as recognized by the Board that want to participate in the welfare and function of this organization.
The Board shall consist of Officers; the President (Chairman), the Vice President (Vice Chairman), the Secretary, the Treasurer, the Directors; Referees Assigner, League Coordinator – Little Kicks and U6, League Coordinator – U8 and Above, Field Maintenance Coordinator, Assistant Field Coordinator, Equipment Coordinator, Concessions Coordinator, Registrar and Member At Large and the President Pro Temp.
Section 4 – Meetings
- Regular, open meetings of the Board shall be called upon with reasonable notice by the any Board member at least once each calendar quarter, unless called upon by the Board to close the meeting;
- Meetings for special purpose of the Board shall be called upon reasonable notice by any Board member with reasonable notice (minimum 3 days). Who ever calls for a special meeting will notify all Board members, state the purpose and make arrangements for the meeting; and
- Three unexcused, consecutive absences constitute a board members resignation automatically. The Board will recognize this automatic recognition upon that third absence immediately.
Section 5 – Quorum and Voting Requirements
- A quorum, consisting of 8 voting members or the majority of the Board, must be present at the meeting in order to conduct business;
- A Board member shall have one (1) vote. The presiding officer shall vote only in the event of a tie vote to break the said tie;
- The vote of the majority of those board members present and voting shall be required for any action of the Board, unless otherwise provided;
- Electronic voting may be conducted when deemed necessary due to time restrictions on the voting subject. As with any other vote, a motion will need to be made, seconded and voted on by all members. Votes will only be accepted during the forty-eight (48) hour time period after the motion has been seconded. All votes made after this time frame will be null and void. The majority vote received in the allotted time will rule and the outcome of any vote will be documented and maintained by the Secretary. Each electronic vote will be then ratified at the next Board meeting; and
- There will be no proxy votes accepted, electronically or during a Board meeting.
ARTICLE IV – RESPONSIBILITIES AND DUTIES
Section 1 – President
- To preside at all Board meeting as Chairman;
- To co-sign money disbursements made in the name of AIYSA;
- To appoint, subject to ratification of the Board, Chairpersons of all Committees, except where otherwise provided;
- To perform and facilitate all other duties as shall be necessary to promote the welfare and function of AIYSA; and
- To represent, or appoint persons to represent, the Association in meetings with other soccer associations.
Section 2 – Vice President
- To serve as Vice Chairman of the Organization;
- To assume the duties of the President in the case of the resignation of the President until the next Annual General Meeting following said resignation or during a temporary absence; or during the Inability of the President to perform the functions of that office;
- To be an authorized check signer;
- To be responsible for arranging and coordinating any general meetings, workshops or contract for such services (i.e. Photographers, Trophies/Awards/Patches/Medals) shall be necessary for the operation of AIYSA business;
- To chair the Nominating Committee;
- To oversee the election process during the Annual General Meeting; and
- To oversee Risk Management.
Section 3 – Secretary
- To be responsible for the storage and maintenance of records for AIYSA;
- To record minutes of Board meetings and distribute the minutes in a timely fashion prior to the next board meeting to all Board members;
- To record, manage and update any submitted, proposed, passed, vetoed amendments to the Constitution, By Laws or any other rules, policies or regulations pertaining to AIYSA;
- To be responsible for informing members of meetings, handling correspondence of AIYSA, and carrying out such other duties as shall be delegated;
- To be responsible for advertisements and information distribution for AIYSA sponsored events via the local newspaper, mailings, posters or electronically;
- To be responsible for obtaining and maintaining proper background checks on all Board members, Coaches, Assistant Coaches, Team Managers, and any other volunteer with AIYSA per season;
- To act as the Media Coordinator for AIYSA and its affiliates; and
- To gather information for each season’s affiliation package and see to it that it is accurate and received by KYSA in a timely manner.
Section 4- Treasurer
- To receive all monies of AIYSA and it’s affiliates, keep accurate records of receipts and disbursements, pay out funds as authorized by the Board, and co-sign money disbursements made in the name of AIYSA;
- To present a statement of account at every meeting of AIYSA or the Board and at other times when requested by the Board, make a full report at the Annual General Meeting and conduct Audits as necessary or requested by the Board; and
- To keep records of scholarship recipients and other accounts pertaining to the organization.
Section 5 – Referee Assignor
- To be responsible for the recruiting, training, development and scheduling of referees for AIYSA;
- To coordinate the disbursal of fees paid to referees after each game;
- To be responsible for all complaints pertaining to referees and disseminate the information to the Board; and
- To process any red card violations to the appropriate associations involved.
- To assess referee performances and oversee a mentoring program for the inexperienced referees.
Section 6 – Scheduling Coordinator
- To be responsible for scheduling games and game fields for all Recreational games in the U6 and U8 Leagues;
- Coordinate with the Referee Assigner to insure proper officiating of each game;
- To coordinate field usage between AIYSA and it’s affiliates;
- To be the Liaison between U10 and above Coaches and CKSL, including being present for each season’s CKSL meeting to assist the Coaches;
- To coordinate practice field usage with the Leagues Coordinators;
- To produce, publish and maintain a master game schedule; and
- Coordinate the rescheduling of canceled games with the Coaches and Referee Assignor.
Section 7 – League Coordinator – Little Kicks and U6
U6
- To be responsible for coordinating, recruiting, training and development of coaches in the U6 age group;
- To coordinate practice times for all teams playing in the U6 age group;
- To coordinate any rescheduled games with the Scheduling Coordinator and Field Maintenance Coordinator; and
- To maintain communications with all U6 Coaches, including the Coaches meetings, and be the Liaison for the U6 Coaches in relaying information between the Board and the U6 Coaches.
Lil’ Kicks
- To coordinate all coaches and assistants to conduct a season of instructional practices;
- To be responsible for maintaining proper insurance for the Lil’ Kicks program;
- To maintain player records for the Lil’ Kicks program and disburse pertinent player/parent information to the instructor of Lil’ Kicks; and
- To coordinate with the Equipment Coordinator for Tee Shirt orders.
Section 8 – League Coordinator – U8 and Above
- To be responsible for coordinating, recruiting, training and development of coaches in the U8 and above age groups;
- To coordinate practice times for all teams playing in the U8 and above age group;
- To coordinate any rescheduled games with the Scheduling Coordinator and Field Maintenance Coordinator; and
- To maintain communications with all U8 and above Coaches, including the Coaches meetings, and be the Liaison for the U8 and above Coaches in relaying information between the Board and the U8 and above Coaches.
Section 9 – Field Maintenance Coordinator
- To be responsible for keeping prescribed dimensions in laying out fields for appropriate age groups;
- To cut or contract out the cutting of grass and re-seed as needed;
- Te reline/repaint the fields as needed at all locations used by AIYSA;
- To obtain the portable toilets for each season;
- To keep the garbage/trash picked up in and around the playing areas throughout the season, including arranging garbage disposal with the local waste management company;
- To inform and recommend the Board on rotation of field use; and
- To coordinate field days; including the recruitment of parents and coaches for those assigned field days.
Section 10 – Assistant Field Maintenance Coordinator
- To assist the Field Maintenance Coordinator in keeping prescribed dimensions in laying out fields for appropriate age groups;
- To assist the Field Maintenance Coordinator in cutting or contracting out the cutting of grass and re-seed as needed;
- To assist the Field Maintenance Coordinator in relining/repainting the fields as needed at all locations used by AIYSA;
- To assist in keeping the garbage/trash picked up in and around the playing areas throughout the season;
- To inform and recommend the Board on rotation of field use; and
- To assist in the coordination of field days, including the recruitment of parents and coaches for those assigned field days.
Section 11 – Equipment Coordinator
- To be responsible for obtaining prices of uniforms for Board’s review and approval;
- To purchase suitable uniforms and insure proper disbursal of the uniforms to the designated teams;
- To purchase goals, nets, flags, game balls and any other materials needed for the maintenance of the fields such as paint, string, measuring tape, spikes and stakes;
- To keep storage and maintenance of all AIYSA equipment; and
- To maintain the First Aid kits.
Section 12 – Concessions Coordinator
- To be responsible for stocking concessions and the coordination of workers;
- To keep receipts, report deposit of any proceeds to the Board; and
- To maintain and report a record of stock (used and unused) of the concession stand.
Section 13 – Registrar
- To be responsible for recording and maintaining all registration forms for all players in AIYSA and to submit official club rosters to the state governing body, KYSA, Kentucky Youth Soccer Association;
- To provide an official team roster for any coach who wants to participate in tournaments with Board approval;
- To provide logistical information to the Equipment Coordinator for uniform ordering;
- To maintain and provide historical data for logistical purposes of the Board;
- To oversee pre-season registration process; and
- To provide final approval for all late registrants that fall outside the normal registration window.
- To maintain a register of the mailing addresses, email addresses and phone numbers of each Board member;
- To coordinate the team selection process; and
- To provide each Board member a copy of each teams’ roster.
Section 14 – Member at Large
- To be responsible for soliciting sponsors and collecting donations for auxiliary expenses such as scholarships, field maintenance and AIYSA equipment.
- To keep record of all sponsors and ensure recognition for these sponsors;
- To help in publicity; and
- To perform such other duties as may be delegated by the Board.
Section 15 – Past President
- To serve as advisor for the current President during the following season of the election year;
- To assist the President in his/her duties as maybe defined by the Board;
- To perform such other duties as may be helpful to the Board; and
- To participate in Board meetings as a non-voting member of the Board at his/her discretion or by the discretion of the Board.
ARTICLE V – BOUNDARIES & TERRITORIES
Section 1 – Territory
The territory of AIYSA shall be Anderson County
ARTICLE VI – MEETINGS
Section 1 – Annual General Meeting
At the end of the spring season, the President, with concurrence of the Board, shall call for an Annual General Meeting of the Membership.
Any adult member (eighteen (18) and over) of this association in attendance at this Annual General Meeting shall be entitled to have one (1) vote by ballot in the Election for each available positions for Officers or Directors in the upcoming terms of office. Terms and Qualifications are described in the By Laws VI, Section 2.
ARTICLE VII – AMENDMENTS
Section 1 – Amendments to the Constitution
- The Board may propose with two-thirds (2/3) of those Board members present and voting approval, amendments to the Constitution. Such a recommendation change to the Constitution will be voted on by the Board at the next meeting.
- The Constitution may be amended by the vote of two-thirds (2/3) of the full Board.
Section 2 – Amendments to the By Laws
- Amendments to the By Laws shall be acted upon by the Board;
- Two-thirds of the members of the Board shall constitute a quorum for purposes of considering amendments to the By Laws; and
- Two-thirds of the members of the Board present and voting shall be required to enact amendments to the By Laws;
- Any and all amendments to the By Laws adopted by the Board shall become effective immediately or as shall be stated.
ARTICLE VIII – DISSOLUTION
Upon the dissolution of the corporation, the Board shall, after paying or making provision for the payment for all the liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operate exclusively for charitable, education, religious or scientific purposes as shall at the time qualify as and exempt organization or organizations under Section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Board shall determine. Any such assets not so disposed of shall be disposed of by the Circuit Court of the County in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
